Social Media Terms

Social Media Management Terms
These Social Media Terms apply in addition to the General Terms and any other applicable Service Terms or agreements between you and Cornerstone Web Studio LLC (“Cornerstone,” “we,” “us,” or “our”).
Service Structure: Services are provided on a month-to-month basis unless otherwise specified in your proposal or agreement.
Payment Terms: Social Media Services are billed as recurring monthly payments in accordance with the Agreement.
Admin Authorization: You authorize Cornerstone to access your social media accounts and to create, schedule, and publish content on your behalf as reasonably necessary to perform the Services.
No Performance Obligation: Cornerstone does not guarantee any specific results from Social Media Services, including but not limited to engagement, reach, impressions, followers, leads, conversions, or revenue. You acknowledge that social media performance is influenced by factors outside of Cornerstone’s control, including platform algorithms, audience behavior, and third-party actions.
Cornerstone has no responsibility or liability for the performance of your social media accounts or business outcomes at any time.
Content Creation and Approval: Cornerstone may create and schedule content in advance. Where approval is requested, you will have up to ten (10) days to review and respond.
If no response is received within that period, Cornerstone may publish content at its discretion.
Delays in approval may result in missed or rescheduled posts. Services will continue as scheduled, and no refunds or credits will be issued due to delayed approvals.
Client-requested revisions are limited to reasonable edits. Substantial or repeated revisions may be billed as additional Services at the Standard Hourly Rate of $150 per hour.
Optional or Additional Posts: Content requested outside the agreed content calendar or scope will be billed at $150 per post unless otherwise agreed. This includes same-month or expedited content requests.
Communication Scope: Services include up to two (2) hours per month of communication, including emails, calls, and change requests. Additional communication time will be billed at the Standard Hourly Rate of $150 per hour.
Client Responsibilities: You are responsible for:
- Providing timely approvals, assets, and direction;
- Maintaining ownership and control of your social media accounts;
- Responding to messages, comments, and customer interactions unless otherwise agreed; and
- Ensuring compliance with platform rules, advertising policies, and applicable laws.
Client Changes; No Responsibility: You are solely responsible for any actions taken on your social media accounts by you or any third party.
If you or any third party modify, remove, override, or interfere with content, settings, campaigns, or account structure, Cornerstone has no responsibility for any resulting condition or performance of the account.
Cornerstone is not responsible for identifying, monitoring, or correcting such changes.
Any work required to review, correct, or rebuild content, campaigns, or account structure due to such actions will be billed at the Standard Hourly Rate of $150 per hour.
Third-Party Platforms: Social media platforms are controlled by third parties. Cornerstone is not responsible for algorithm changes, account suspensions, restrictions, loss of access, reduced visibility, or any other platform-related issues.
Access & Permissions: You agree to provide and maintain necessary administrative access to all relevant platforms. Failure to provide access may delay or suspend Services without liability to Cornerstone.
Cancellation: Either party may terminate Services with thirty (30) days’ written notice. Services will continue through the end of the billing period following notice.
You are responsible for removing Cornerstone’s administrative access from all relevant platforms upon termination.
Outstanding Fees: Termination does not relieve you of your obligation to pay any outstanding Fees. You are responsible for reasonable collection costs, including attorneys’ fees.
No Refunds: All payments for Social Media Services are non-refundable unless otherwise stated in writing or except as provided in Section 9 of the General Terms for pre-start cancellations.
Limitation of Liability: To the fullest extent permitted by law, Cornerstone will not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, business, or data, arising out of or related to Social Media Services.
