Website Maintenance Terms
Our hope is that our terms are simple to read and easy to understand, but if for any reason these terms don’t answer your questions or concerns, please reach out and we’d be happy to address those with you.
Website Maintenance Terms:
In addition to the terms and conditions in the General Terms and other applicable Schedules in the Agreement, the following terms apply to all Website Maintenance Services provided by Cornerstone Web Studio.
Contract Type: Month-to-month, terminable by either party with thirty (30) days’ written notice.
Payment Method: Recurring monthly fees, billed in advance.
Service Overview: Cornerstone Web Studio provides ongoing website maintenance services, which include hosting, system updates, security monitoring, and minor website edits.
Maintenance Services Include:
- Updates to text, images, and minor changes to existing website pages;
- Content management system updates, including plugins and themes;
- Basic security monitoring and removal of malware, spam, or malicious code (if detected during active service); and
- Backup recovery (if backups are available).
Maintenance Time Allocation: Client is allotted one (1) hour of maintenance time per month, billed in fifteen (15) minute increments. Maintenance time is use-it-or-lose-it: any unused portion of the monthly allocation is forfeited at the end of the billing month in which it accrued and does not roll forward, accumulate, or carry over to any future month.
Borrow-Forward Option: Client may use up to two (2) hours of maintenance time in a single billing month by drawing the one (1) hour allocation from the immediately following billing month into the current month. If Client elects to borrow forward in this manner, the maintenance allocation for the immediately following billing month is reduced to zero (0) hours, and any maintenance work requested during that zero-hour month will be billed at the Standard Hourly Rate of $150 per hour. Client may not draw maintenance time from any month beyond the immediately following month.
In no event will any unused, forfeited, or borrowed-forward maintenance time convert to credit, refund, cash value, or carry-forward time, nor will any forfeiture or zero-hour month entitle Client to a reduction in monthly fees.
- Any work exceeding the available allocation in a given month will be billed at the Standard Hourly Rate of $150 per hour.
- Additional time required due to unclear, incomplete, or incorrect instructions provided by Client will count toward the allotted time or be billed accordingly.
Scope Limitations: Maintenance Services are limited to minor updates and explicitly exclude, but are not limited to:
- Website redesigns or layout changes;
- Graphic design or image editing;
- Custom development or programming;
- Database changes;
- Search engine optimization (SEO); and
- Copywriting or content creation.
All services outside the defined scope will be billed at the Standard Hourly Rate of $150 per hour.
Client Responsibilities: Client is responsible for:
- Providing timely, clear, and complete instructions for requested updates;
- Maintaining all necessary third-party licenses (including plugins, themes, and integrations); and
- Providing necessary access to systems and platforms required for maintenance.
Cornerstone Web Studio is not responsible for delays or issues caused by incomplete or inaccurate information provided by Client.
Third-Party & External Factors: Cornerstone Web Studio is not responsible for:
- Changes made to the website by third parties;
- Failures or issues related to third-party plugins, software, or integrations;
- Hosting environments outside of Cornerstone Web Studio;
- Website performance, speed, or functionality impacted by external systems or providers; and
- Search engine policies, rankings, or visibility.
Client Changes; No Performance Responsibility: Client acknowledges that Cornerstone Web Studio does not guarantee any specific results related to website performance, functionality, search visibility, traffic, leads, conversions, or revenue.
Client is solely responsible for any changes made to the website, hosting environment, content, structure, plugins, themes, integrations, or technical configuration by Client or any third party, including employees, contractors, developers, or other service providers.
If any such changes modify, remove, override, conflict with, or negatively interact with prior work performed by Cornerstone, including SEO-related implementations or technical configurations, Client assumes full responsibility for the resulting condition of the website.
Cornerstone Web Studio has no obligation to monitor, identify, prevent, or correct changes made outside of our direct work unless expressly included in the scope of Services. Any work required to review, diagnose, repair, or re-implement website elements due to such changes will be treated as additional Services and billed at the Standard Hourly Rate of $150 per hour.
Maintenance Services will continue during this time and will not be paused, discounted, credited, or refunded due to issues caused by Client or third-party changes.
Security & Recovery Limitations:
- Recovery of compromised, hacked, or infected websites is not guaranteed;
- Issues existing prior to the start of Maintenance Services are not covered; and
- Backup availability is not guaranteed.
Hosting Dependency: Maintenance Services assume that the website is hosted by Cornerstone Web Studio. If the website is hosted elsewhere, Cornerstone is not responsible for performance, functionality, or compatibility issues.
Amendments & Additional Work: Any amendments, additions, or requests outside the scope of Maintenance Services will require a separate agreement or be billed at the Standard Hourly Rate of $150 per hour.
Access & Control: Cornerstone Web Studio reserves the right to restrict or suspend Maintenance Services in the event of non-payment or breach of this Agreement.
Web-surance Coverage Program
As an additional benefit included with active Website Maintenance plans, qualifying Clients receive coverage under Cornerstone’s Web-surance program (“Web-surance”). Web-surance is not insurance and is not regulated as such; it is a service inclusion under the Website Maintenance plan that provides remediation work at no additional cost when a Covered Event occurs.
Covered Events. Web-surance covers labor costs to remediate the following events affecting websites built and hosted by Cornerstone:
- Security incidents, including malware infections, hacking, and unauthorized code injection;
- Functional or visual issues caused by routine updates to WordPress core, themes, or plugins maintained by Cornerstone; and
- Compatibility issues caused by browser updates, server changes, or hosting environment changes within Cornerstone’s control.
Eligibility Requirements. To qualify for Web-surance coverage, all of the following must be true at the time of the Covered Event:
- The website was originally built by Cornerstone;
- The Client maintains an active Website Maintenance plan with Cornerstone;
- Cornerstone is hosting the website; and
- Cornerstone employees are the only users with Administrator-level access to the website.
Exclusions. Web-surance does not cover:
- Websites not originally built by Cornerstone;
- Damage, errors, or issues caused by Client or any third party other than Cornerstone, including but not limited to changes made by Client, Client’s employees, Client’s contractors, or any non-Cornerstone Administrator;
- Issues arising during periods when the Client granted Administrator-level access to any non-Cornerstone party, even if access was later revoked;
- Pre-existing issues that existed prior to the start of the Maintenance plan;
- Custom development, design changes, content updates, or feature additions;
- Migration to or from third-party hosting;
- Issues caused by paid plugins, themes, or third-party services not selected or maintained by Cornerstone;
- Issues arising from Client’s failure to maintain required third-party licenses;
- Acts of cybercrime or attacks specifically targeting Client’s business that exceed standard security protections;
- Recovery of data lost due to Client’s failure to maintain backups outside of Cornerstone’s control; and
- Any issue arising more than ninety (90) days after Client cancels or fails to maintain a qualifying Maintenance plan.
Loss of Coverage. Web-surance coverage is automatically suspended, without notice, if any Eligibility Requirement is not met. Coverage may be reinstated only after Client confirms in writing that all Eligibility Requirements have been restored, and Cornerstone reserves the right to require an inspection of the website at the Standard Hourly Rate of $150 per hour before reinstating coverage.
No Guarantee of Specific Outcomes. Cornerstone will use commercially reasonable efforts to remediate Covered Events but does not guarantee complete restoration, recovery of lost data, or any specific outcome. Cornerstone’s total obligation under Web-surance for any single Covered Event is limited to the labor required for reasonable remediation. Web-surance does not cover lost revenue, lost business, lost data, or any consequential damages, all of which are addressed in Section 20 of the General Terms.
Termination of Web-surance. Cornerstone may modify or discontinue the Web-surance program at any time on thirty (30) days’ written notice. Modifications or discontinuation do not affect remediation work already in progress at the time of notice.
Not Insurance. Web-surance is a service inclusion and is not insurance. No premium is charged for Web-surance separately from the Maintenance plan, and Web-surance does not transfer risk in the manner of an insurance policy. Cornerstone is not a licensed insurer and does not represent itself as one.
Additional Terms for Flex Budget Websites
Maintenance Requirement: Flex Budget Websites require an active Website Maintenance plan to remain live. Maintenance is a required service tied to the website and must remain active unless the Buy-Out Option is completed.
Ownership Dependency: Flex Budget Websites are not owned by Client unless the Buy-Out Option has been completed, as defined in the applicable Flex Website Terms.
Cancellation & Website Removal: If Client cancels Website Maintenance without completing the Buy-Out Option, the website will be taken offline at the end of the following full billing month.
Non-Payment: In the event of non-payment, Cornerstone Web Studio reserves the right to suspend or remove the website after a reasonable grace period as further described in the Flex Website Terms.
Reactivation & Backup Policy: Cornerstone Web Studio may retain a backup of the website after cancellation; however, backup availability is not guaranteed beyond ninety (90) days.
If Client requests reactivation of a previously removed website:
- Client must pay any outstanding balances;
- Restoration or repair of the website is not guaranteed; and
- Any work required to restore, update, or repair the website will be billed at the Standard Hourly Rate of $150 per hour.
Scope Consistency: All maintenance services, limitations, time allocations, and hourly rates for Flex Budget Websites are governed by the Standard Website Maintenance Terms above.
Cancellation & Refunds
Cancellation: Either party may terminate Website Maintenance Services with thirty (30) days’ written notice. Services will continue through the end of the billing period following notice.
If Client cancels hosting services:
- Client is responsible for migrating the website to a new hosting provider; or
- Cornerstone Web Studio may assist with migration at the Standard Hourly Rate of $150 per hour.
Cornerstone Web Studio is not liable for the stability, functionality, or design of the website once it is no longer hosted or maintained by Cornerstone.
Refunds/Credit: All payments made for Website Maintenance Services are non-refundable, except as provided in Section 9 of the General Terms for pre-start cancellations.
