Website Terms
Our hope is that our terms are simple to read and easy to understand, but if for any reason these terms don’t answer your questions or concerns, please reach out and we’d be happy to address those with you.
Standard Website Terms:
In addition to the terms and conditions in the General Terms and other applicable Schedules in the Agreement, the following additional terms and conditions apply to all Standard Website Services provided by Cornerstone Web Studio.
Visibility Guarantee: Cornerstone Web Studio does not guarantee position or improvement in Client’s sales or relevant website traffic. Cornerstone Web Studio LLC makes no guarantees that the Client’s website will be visible or rank in specific locations within search results placed on the chosen Search Engine(s). No guarantees are made regarding leads, conversions, or return on investment. However, we do have a proven track record and can provide examples of successfully completed projects.
Performance Disclaimer: Due to the varied nature of file size, functionality requirements, plugins, hosting environments, third-party services, and user behavior, Cornerstone Web Studio does not guarantee a specific load time, performance score, or technical benchmark, including but not limited to Google’s PageSpeed Insights. Performance may vary over time based on factors outside Cornerstone’s control.
Contract Type: One-time website design agreement
Payment Method: Payment for Standard Website Services may be structured as follows:
- Payment in full is due at the time of Agreement; or
- Sixty percent (60%) is due at the time of Agreement, and the remaining forty percent (40%) is due upon Client approval of the initial design.
Website Ownership: Upon full payment of all agreed fees, Client will own the website and all associated design, structure, and assets created for the project. Client may transfer, host, or modify the website at their discretion.
Domain Name Ownership: If Cornerstone Web Studio purchases a domain name on Client’s behalf, it will be transferred to Client’s registrar upon request, subject to Section 12(l) of the General Terms.
Hosting Terms: If Client purchases hosting services from Cornerstone Web Studio, Cornerstone will host the website until a transfer request is received.
- If Client cancels hosting services, Client is responsible for migrating the website to a new hosting provider;
- Cornerstone Web Studio may assist with migration at the Standard Hourly Rate of $150 per hour;
- Cornerstone Web Studio is not liable for the stability, functionality, security, or design of the website once it is no longer hosted by Cornerstone.
Scope of Work & Change Orders: The website will be developed according to the agreed scope of work. Any amendments, additions, or changes requested by Client outside of the original scope will require a Change Order and may result in additional fees billed at the Standard Hourly Rate or at a fixed fee agreed in writing.
Client Responsibilities: Client agrees to provide timely feedback, content, approvals, and communication necessary to complete the project.
Non-Responsive Clients; Project Pause and Abandonment: If Client becomes unresponsive or fails to provide necessary communication for more than fifteen (15) consecutive business days without prior notice, Cornerstone may pause the project on written notice to Client. Paused projects may be subject to reactivation fees, updated timelines, and applicable hosting or maintenance fees.
If Client remains unresponsive for an additional thirty (30) consecutive business days after Cornerstone issues a pause notice (a total of approximately nine weeks of non-communication), Cornerstone may, at its sole discretion, deem the project abandoned. Upon abandonment: (i) all amounts paid are non-refundable and retained as liquidated damages for Cornerstone’s time, opportunity costs, and work performed; (ii) Cornerstone has no obligation to deliver any work product, files, or credentials for which ownership has not transferred; and (iii) any subsequent request to resume work will be treated as a new project quoted at then-current rates.
Third-Party & External Factors: Cornerstone Web Studio is not responsible for:
- Third-party software, plugins, or integrations
- Hosting environments not controlled by Cornerstone
- Changes made by Client or other third parties after delivery
- Search engine policies, rankings, or indexing
Maintenance & Ongoing Services: Ongoing updates, edits, hosting, and technical support are not included unless Client enrolls in a separate Website Maintenance plan.
Refunds/Credit: If a project is canceled prior to completion, any refunds or credits will be determined based on the amount of work completed, calculated at Cornerstone’s reasonable discretion. All completed work, including approved designs and delivered assets, is non-refundable. Cancellations made before any substantive work has begun are governed by Section 9 of the General Terms.
Flex Website Terms:
In addition to the terms and conditions in the General Terms and other applicable Schedules in the Agreement, the following terms apply to all Flex Website Services provided by Cornerstone Web Studio.
Contract Type: Six (6) month minimum commitment, followed by month-to-month thereafter.
Flex Budget Structure; Not Financing: Client acknowledges and agrees that the Flex Budget model is a service subscription for website access, Website Maintenance, hosting, and support, and is not intended to function as and is not: (i) a payment plan; (ii) a financing or loan arrangement; (iii) a lease or rent-to-own arrangement; or (iv) an installment sale. Client does not acquire any ownership interest, equitable interest, or expectation of ownership in the website through payment of monthly Fees.
The monthly Fee paid by Client is strictly for website access, Website Maintenance, hosting, and support Services, and does not contribute toward ownership of the website. Time on maintenance does not reduce the Buy-Out Amount. The website is not considered paid for unless the Buy-Out Option is completed.
Website Ownership & Control: Cornerstone Web Studio retains full ownership, control, and administrative access to the website, including all design, layout, structure, user experience, and underlying systems (the “Design System”), unless and until the Buy-Out Option is completed.
Client is granted a limited, non-transferable right to use the website while services remain active and in good standing. Cornerstone Web Studio will be the only party with administrative access to the website unless otherwise agreed to in writing.
Buy-Out Option: Client may purchase full ownership of the website at any time by paying the Buy-Out Amount listed in the Website Agreement or initial invoice. The Buy-Out Amount:
- Is fixed at the time of Agreement;
- Does not decrease over time; and
- Is not affected by maintenance payments or length of service.
Upon completion of the Buy-Out:
- Ownership of the website will transfer to Client;
- Administrative access will be granted; and
- Client may host or transfer the website at their discretion.
Website Design & Structure Protection: The following elements created by Cornerstone for a Flex Website remain the Intellectual Property of Cornerstone unless the Buy-Out Option is completed (collectively, the “Protected Elements”):
- Custom code, scripts, templates, and technical implementations authored by Cornerstone;
- Original design layouts, visual frameworks, and design templates created by Cornerstone for the Flex Website; and
- Cornerstone’s proprietary conversion structures, page flows, and user-experience patterns that are not standard industry conventions.
Client may copy and reuse any Client Materials they provided, and any text, images, video, or branding created for Client during the engagement. Client agrees not to copy, reproduce, or reverse-engineer the Protected Elements, or commission a third party to do so, for use on any other website without completing the Buy-Out Option. Nothing in this section prevents Client from building a new website using common industry layouts, standard components, or other generally available design conventions.
In the event of a material violation, Cornerstone may require removal or modification of the infringing elements and may pursue any remedies available under this Agreement or applicable law.
Maintenance Requirement: An active Website Maintenance plan is required for all Flex websites to remain live. Maintenance services are governed by the Website Maintenance Terms.
Cancellation & Website Removal: A thirty (30) day written notice is required to cancel services.
If Client cancels maintenance:
- The website will remain live through the end of the following full billing month;
- Client may complete the Buy-Out Option to retain ownership.
If the Buy-Out Option is not completed:
- The website will be taken offline;
- Client will lose access to the website and associated services.
Non-Payment: Cornerstone Web Studio reserves the right to suspend or remove the website in the event of non-payment. If payment is not received, the website may be taken offline after a ninety (90) day period. To restore service:
- All outstanding balances must be paid;
- Restoration is not guaranteed; and
- Any restoration or repair work will be billed at the Standard Hourly Rate of $150 per hour.
Backup & Reactivation: Cornerstone Web Studio may retain a backup of the website after removal; however, backup availability is not guaranteed beyond ninety (90) days. If Client requests reactivation:
- Client must pay all outstanding balances;
- Restoration or repair of the website is not guaranteed;
- Any work required to restore or update the website will be billed at the Standard Hourly Rate of $150 per hour.
Domain Name Ownership: If Cornerstone Web Studio purchases a domain on Client’s behalf, it will be transferred upon request, subject to Section 12(l) of the General Terms.
Hosting: Hosting is included as part of the Flex Website service while maintenance remains active. If the website is transferred after Buy-Out:
- Client is responsible for migration; or
- Cornerstone may assist at the Standard Hourly Rate of $150 per hour.
Cornerstone Web Studio is not responsible for website performance, security, or functionality once the site is no longer hosted by Cornerstone.
Non-Responsive Clients: If Client becomes unresponsive for more than fifteen (15) consecutive business days, Cornerstone may pause progress or Services until communication resumes.
Non-Solicitation: Client agrees not to solicit, hire, or engage any employee or contractor of Cornerstone Web Studio with whom Client had direct contact in connection with the Services, during the term of this Agreement and for twelve (12) months thereafter. A general solicitation not targeted at Cornerstone personnel (such as a public job posting) does not violate this provision.
Refunds/Credit: All payments made for Flex Website Services are non-refundable, except as provided in Section 9 of the General Terms for pre-start cancellations.
If Client cancels during an annual commitment period:
- Any discounts received will be repaid;
- Any applicable credits will be applied against the discount repayment amount.
